These Terms & Conditions ("Terms") govern access to and use of IntelliCrew, including the IntelliCrew platform, AI workspaces, agents, crews, smart tasks, workflows, connectors, APIs, dashboards, usage credits, and related services operated by Zykoon Technologies Pvt Ltd ("Company", "we", "us", or "our").
By creating an account, subscribing to a plan, using a trial, purchasing credits, accessing a workspace, or using any part of IntelliCrew, the Customer and its Users agree to these Terms.

Violation of any linked policy may result in feature restriction, suspension, or termination without refund.
IntelliCrew is an AI work platform for business operations. It provides ready AI workspaces, predefined agents and crews, smart tasks, workflow execution, document processing, AI-assisted drafting, conversation interfaces, connectors, analytics, human review flows, and platform administration features.
Workspace and feature availability depends on the Customer’s active plan, purchased workspace, deployment model, region configuration, enabled connectors, and applicable usage limits. IntelliCrew may include, among others:
Customers may subscribe to IntelliCrew as a platform plan, to an individual workspace, or to multiple independent workspace subscriptions such as Acquire, Diligence, and Balance. Unless a plan page, order form, or written agreement states otherwise:
If you register or subscribe on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. The organization is responsible for all activity under its workspace, users, admins, connected systems, uploaded data, prompts, outputs, and billing actions.
IntelliCrew may use credits, wallet balances, token-based metering, document-count limits, candidate-count limits, check-count limits, connector-call limits, storage limits, user limits, or other usage controls. Credits are a platform consumption mechanism and are not cash, stored value, securities, or legal tender.
Unless otherwise stated in a written enterprise agreement, IntelliCrew supports immediate plan changes subject to system, payment gateway, and plan availability.
All payments are final once successfully processed because IntelliCrew provides immediate access to digital services, workspace entitlements, AI capabilities, usage credits, and platform infrastructure. No refunds, partial refunds, pro-rated refunds, or billing-cycle adjustments are provided except for verified duplicate or erroneous payment gateway charges as described in the Cancellation & Refund Policy.
We may offer trials, pilots, beta features, preview tasks, or early access modules. Such features may be incomplete, experimental, usage-limited, changed without notice, or discontinued. Trial or beta access does not guarantee future availability, pricing, performance, support level, or production suitability.
IntelliCrew includes AI-assisted features that may generate, classify, extract, summarize, recommend, score, match, draft, or analyze information. AI outputs are assistive and probabilistic. The Customer acknowledges that:
Acquire supports recruitment operations but does not replace recruiter judgment, employer obligations, candidate consent, anti-discrimination compliance, background checks, human review, or lawful hiring practices. Customers are responsible for candidate consent, lawful communication, fair evaluation, and final hiring decisions.
Diligence supports verification workflows and may use AI, APIs, documents, vendor outputs, and human review queues. Customers are responsible for obtaining lawful consent, selecting appropriate checks, validating identity, interpreting results, complying with applicable employment and privacy laws, and making final onboarding or employment decisions. Diligence outputs are not a guarantee of a person's identity, history, fitness, integrity, or legal status.
Balance supports finance document processing and exception detection but does not replace accounting, finance, audit, tax, or CFO review. Customers are responsible for validating extracted fields, vendor details, bank details, tax treatment, approvals, payments, and any posting to accounting, ERP, banking, or finance systems.
IntelliCrew may connect to third-party applications, email systems, storage systems, HR systems, ATS tools, finance systems, communication channels, payment gateways, verification providers, or other external services. The Customer authorizes us to access, process, transmit, or act on data through enabled connectors according to the permissions granted by the Customer.
Customers retain ownership of their uploaded documents, records, prompts, outputs, workflows, business data, candidate data, employee data, finance data, and connected-system data. We retain ownership of IntelliCrew software, platform architecture, agents, workflows, templates, UI/UX, models, orchestration logic, documentation, designs, and platform improvements.
Customers and Users must not copy, reverse engineer, decompile, scrape, reproduce, resell, sublicense, benchmark for competitive purposes, or build competing services using IntelliCrew, its workflows, prompts, agents, UI designs, documentation, or outputs except to the extent expressly permitted by law or written agreement.
We process data in accordance with our Privacy Policy and applicable law. Customers are responsible for providing notices, collecting consents, responding to user/data principal requests, and determining lawful basis for processing where they act as the data fiduciary/controller for their employees, candidates, contractors, vendors, or customers.
IntelliCrew is designed for international business customers. Standard shared SaaS deployments may use our currently available service regions, infrastructure, AI, security, support, billing, and operational service providers. Where a Customer purchases a dedicated instance or enterprise deployment, the primary application environment and Customer data storage may be deployed in an available region aligned to the Customer’s selected geography, regulatory needs, and commercial agreement.
Regional or dedicated deployment does not mean every processing activity occurs only inside that region. Limited cross-region or international processing may still occur where required for AI inference, support, security monitoring, billing, communication delivery, connector operation, backups, disaster recovery, legal compliance, or other service operations. We use reasonable contractual, technical, and organizational safeguards for such processing and do not use Customer data to train foundation AI models.
Specific region availability, data residency commitments, support scope, backup location, recovery terms, and any dedicated-instance obligations must be confirmed in the applicable order form, enterprise agreement, pricing page, or workspace-specific subscription terms.
Each party must protect confidential information received from the other party using reasonable safeguards. Confidential information includes business data, platform configurations, pricing, proposals, technical information, trade secrets, credentials, security information, and non-public product information. Confidentiality obligations survive termination.
We implement reasonable administrative, technical, and organizational safeguards such as access controls, encryption in transit, logging, role-based permissions, and operational monitoring. No system can be guaranteed completely secure. Customers must maintain secure devices, user access, passwords, connector permissions, and internal controls.
We may monitor usage, logs, activity patterns, device metadata, IP information, credit consumption, connector activity, and AI usage metrics to operate the service, detect misuse, enforce plan limits, secure the platform, investigate abuse, and comply with law. We do not access Customer content except where necessary for support, security, misuse investigation, legal compliance, or as authorized by the Customer.
We may restrict, suspend, or terminate access if:
Suspension or termination due to breach does not entitle the Customer to refunds.
We will make commercially reasonable efforts to keep IntelliCrew available. However, uninterrupted availability is not guaranteed. Planned maintenance, emergency maintenance, software updates, third-party outages, internet disruptions, cyber incidents, usage spikes, or force majeure events may affect availability. We may modify, improve, replace, or discontinue features where necessary for security, reliability, compliance, product direction, or commercial reasons.
Support availability depends on the active plan, workspace, enterprise agreement, or commercial proposal. Standard support may include documentation, email support, chat support, or priority support depending on plan. Support does not include custom development, legal advice, accounting advice, recruitment process outsourcing, manual verification services, third-party system configuration, or data cleanup unless separately agreed.
IntelliCrew is provided on an "as is" and "as available" basis to the maximum extent permitted by law. We disclaim all implied warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and guaranteed business outcomes.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages; loss of data; business interruption; hiring decisions; verification decisions; finance approval decisions; regulatory penalties; third-party failures; or unauthorized access caused by Customer-side controls.
Our total aggregate liability for any claim shall not exceed the fees paid by the Customer for the affected service during the last billing cycle immediately preceding the claim, unless a separate written agreement states otherwise.
The Customer agrees to indemnify and hold harmless Zykoon Technologies Pvt Ltd, its directors, employees, contractors, and affiliates from claims, losses, damages, liabilities, penalties, and expenses arising from Customer data, misuse of IntelliCrew, violation of law, unlawful hiring or verification practices, finance/payment decisions, connector misuse, third-party claims, or breach of these Terms.
We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, war, civil unrest, epidemics, labour issues, power failure, internet disruption, cyberattacks, government action, third-party provider failures, or payment gateway outages.
These Terms are governed by the laws of India. Subject to applicable law, courts in Gurgaon, Haryana shall have jurisdiction over disputes arising from or relating to these Terms or IntelliCrew.
We may update these Terms to reflect product changes, legal requirements, commercial changes, security practices, or operational needs. Updated Terms may be posted on the website or communicated through email or in-product notice. Continued use of IntelliCrew after the effective date constitutes acceptance of the updated Terms.
